La antinomia en la regulación del aporte de capital en las sociedades mercantiles, a propósito de la resolución registral No 393-2019-SUNARPTR-L

Abstract

El proyecto de tesis titulado "La antinomia en la regulación del aporte de capital en las sociedades mercantiles a propósito de la resolución registral No 393-2019-SUNARP-TR-L", tiene como propósito analizar la contradicción generada entre la Ley General de Sociedades, (Ley N° 26887) y el D.S. N° 013-2013-PRODUCE. Con referencia a los requisitos de formalización del aporte de capital en las sociedades mercantiles, especialmente en el caso de las micro y pequeñas empresas (Mypes). El enfoque a emplear en la investigación será de carácter jurídico dogmático, de tipo descriptivo y explicativo, mediante el análisis normativo y jurisprudencial. centrado en la Resolución Registral N° 393-2019-SUNARP-TR-L, la misma que revoca observación registral que exigía el depósito bancario del capital, aceptando en su lugar una declaración jurada del gerente de la empresa, lo cual evidencia una antinomia normativa que afecta la seguridad jurídica en el proceso de constitución empresarial. La investigación busca determinar cuál de las normas debe de prevalecer según el principio de jerarquía normativa y proponer criterios interpretativos que contribuyan a una aplicación coherente del derecho favoreciendo la implicación administrativa sin comprometer la legalidad del procedimiento registral.The purpose of the thesis project entitled "The antinomy in the regulation of the capital contribution in commercial companies regarding the registry resolution No 393-2019-SUNARP-TR-L", is to analyze the contradiction generated between the General Law of Companies (Law No. 26887) and the D.S. No. 013-2013-PRODUCE. With reference to the requirements of formalization of the capital contribution in commercial companies, especially in the case of micro and small enterprises (MSEs). The approach to be used in the research will be of a dogmatic legal nature, descriptive and explanatory, through normative and jurisprudential analysis, focused on the Registry Resolution No. 393-2019-SUNARP-TR-L, which revokes the registry observation that required the bank deposit of the capital, accepting instead a sworn statement of the manager of the company, which shows a normative antinomy that affects the legal security in the process of incorporation of the company. The research seeks to determine which of the norms should prevail according to the principle of normative hierarchy and to propose interpretative criteria that contribute to a coherent application of the law favoring.
